1. Acceptance of Terms

By visiting our website, submitting a contact form, or entering into a service agreement with Q-Era Software, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to comply with them in full. These Terms apply to all visitors, users, and clients.

2. Our Services

Q-Era Software provides professional software development and quality assurance services, including but not limited to:

• Web Application Development
• Mobile Application Development (iOS & Android)
• Custom Software Development
• API & Backend Development
• UI/UX Design
• Cloud & DevOps Solutions
• Functional, Automation, Performance, Security, Mobile, and API Testing

The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate Statement of Work (SOW) or Service Agreement executed between Q-Era Software and the client. In case of conflict, the SOW takes precedence over these Terms.

3. Use of the Website

You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Use the website in any way that violates applicable local, national, or international laws or regulations.
• Transmit unsolicited or unauthorised advertising or promotional material (spam).
• Attempt to gain unauthorised access to any part of the website, its servers, or any connected systems.
• Introduce viruses, trojans, worms, or other malicious or technologically harmful material.
• Scrape, crawl, or harvest content from the website using automated tools without our prior written consent.
• Impersonate Q-Era Software, its employees, or any other person or entity.

We reserve the right to restrict or terminate your access to the website at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to our interests or other users.

4. Intellectual Property

All content on this website — including text, graphics, logos, icons, images, and software — is the property of Q-Era Software Private Limited and is protected under applicable Indian and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, or publicly display any content from this website without our prior written permission.

With respect to client project deliverables: unless expressly stated otherwise in the applicable SOW, ownership of the final deliverables transfers to the client upon receipt of full payment. Q-Era Software retains the right to use project work as part of its portfolio unless the client requests confidentiality in writing.

5. Client Obligations

To enable Q-Era Software to deliver services effectively, clients agree to:

• Provide accurate, complete, and timely information, access, and materials required for the project.
• Designate a point of contact with authority to make decisions related to the project.
• Review and provide feedback on deliverables within the timelines agreed upon in the SOW.
• Ensure that any materials or data provided to Q-Era Software do not infringe any third-party rights.
• Comply with all applicable laws in connection with their use of our deliverables and services.

Delays caused by the client's failure to meet these obligations may result in revised timelines or additional charges, as agreed in the SOW.

6. Confidentiality

Both parties acknowledge that they may have access to confidential information belonging to the other party during the course of the engagement. Each party agrees to:

• Keep all confidential information strictly confidential and not disclose it to any third party without prior written consent.
• Use confidential information solely for the purpose of performing obligations under the service agreement.
• Limit access to confidential information to personnel who have a need to know.

These obligations do not apply to information that is publicly known, already known to the receiving party, independently developed without reference to the confidential information, or required to be disclosed by law.

Confidentiality obligations survive the termination of any engagement for a period of 3 years.

7. Fees & Payment

• All fees are as agreed in the applicable SOW or service proposal. Prices are exclusive of applicable taxes (including GST) unless stated otherwise.
• Invoices are payable within the period specified in the SOW (typically 15–30 days from invoice date).
• Late payments may attract interest at the rate of 1.5% per month on the outstanding balance.
• Q-Era Software reserves the right to suspend services if payments are overdue by more than 30 days.
• All fees paid are non-refundable unless explicitly stated in the SOW or required by applicable law.

8. Warranties & Disclaimers

Q-Era Software warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. We will re-perform any services that fail to meet this standard if notified in writing within 30 days of delivery.

Except as expressly stated above, our website and services are provided on an "as is" and "as available" basis without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Q-Era Software Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profit, loss of data, loss of goodwill, or business interruption — arising out of or in connection with your use of our website or services, even if we have been advised of the possibility of such damages.

Our total cumulative liability to any client for any claim arising out of or relating to a service engagement shall not exceed the total fees paid by that client to Q-Era Software in the three months immediately preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Q-Era Software Private Limited, its directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use of our website or services in violation of these Terms.
• Any content or materials you provide to us that infringe the rights of a third party.
• Your violation of any applicable law or regulation.

11. Termination

Either party may terminate a service engagement by providing written notice as specified in the applicable SOW. Unless otherwise agreed:

• The client shall pay for all work completed up to the date of termination.
• Q-Era Software will deliver all completed work product upon receipt of outstanding payments.
• Provisions relating to intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.

We reserve the right to terminate or suspend access to our website immediately, without prior notice, for any breach of these Terms.

12. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute in good faith through direct negotiation for a period of at least 30 days.

13. Changes to These Terms

We may revise these Terms at any time by posting the updated version on this page with a new "Last updated" date. We encourage you to review this page periodically. Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms. Material changes will be communicated to active clients via email.
